Terms and Conditions

The rules that apply when you access or use Rankboard.

By creating an account, purchasing a subscription, or using Rankboard, you agree to these Terms. If you use Rankboard for an organization, you represent that you can bind that organization.

1. Company and Service

These Terms form an agreement between you and BentaConnect, Inc. ("Rankboard," "we," or "us"). Rankboard provides software for SEO research, content planning, AI-assisted content creation, publishing, monitoring, and related workflows.

2. Eligibility and Accounts

You must be legally able to enter this agreement and provide accurate account information. You are responsible for safeguarding credentials and for activity performed through your account. Notify us promptly of suspected unauthorized access.

3. Trials, Subscriptions, and Payment

Paid features are billed according to the plan and price shown at checkout. Unless stated otherwise, subscriptions renew automatically until canceled. Fees are non-refundable except where required by law. Taxes may apply. Trial access and usage limits may be changed or withdrawn if abused.

4. Customer Content

You retain ownership of content and data you submit or connect. You grant us a limited license to host, process, reproduce, and transmit that content only as needed to operate, secure, support, and improve the service. You represent that you have the rights required to provide it.

5. AI and Research Outputs

Rankboard may use automated systems and third-party models to create suggestions, research, images, and drafts. Outputs can be incomplete, inaccurate, or similar to content produced for others. You must review outputs for accuracy, legality, originality, brand fit, and required disclosures before publishing.

6. Connected Services

When you connect services such as Shopify, WordPress, Google Search Console, or another provider, you authorize Rankboard to access and act on that service within the permissions you grant. You remain responsible for the connected account, its terms, and published actions. You may disconnect an integration at any time.

7. Acceptable Use

You may not misuse the service or help anyone else do so.

  • Do not violate law, third-party rights, privacy, or intellectual-property rights.
  • Do not publish deceptive, harmful, malicious, or unlawful material.
  • Do not probe, disrupt, overload, reverse engineer, or bypass security or usage controls.
  • Do not use automated access except through interfaces we authorize.
  • Do not resell or sublicense the service without written permission.

8. Rankboard Intellectual Property

Rankboard and its licensors own the service, software, design, documentation, trademarks, and related technology. These Terms give you a limited, non-exclusive, non-transferable right to use the service during your subscription; no other rights are granted.

9. Availability and Fair Use

We may modify features, providers, models, limits, or availability. Maintenance and events outside our control may interrupt service. We may apply reasonable technical or usage limits to protect reliability, safety, and other customers.

10. Suspension and Termination

You may stop using Rankboard and cancel according to the billing controls provided. We may suspend or terminate access for nonpayment, material breach, security risk, unlawful use, or harm to the service or others. Provisions that by nature should survive termination will survive.

11. Disclaimers

To the maximum extent permitted by law, Rankboard is provided "as is" and "as available." We disclaim implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing. We do not guarantee rankings, traffic, revenue, publication acceptance, or uninterrupted operation.

12. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, data, or goodwill. Our aggregate liability relating to the service will not exceed the amount you paid Rankboard during the twelve months before the event giving rise to the claim. Some jurisdictions do not allow every limitation.

13. Indemnity

You will defend and indemnify BentaConnect, Inc. and its personnel against third-party claims arising from your content, connected accounts, unlawful use, or violation of these Terms or another party's rights, except to the extent caused by our misconduct.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Before filing a claim, each party agrees to attempt in good faith to resolve the dispute informally. Courts located in Texas will have exclusive jurisdiction unless applicable law requires otherwise.

15. Changes and General Terms

We may update these Terms and will post the revised date. Material changes may be communicated through the service or email. Continued use after the effective date constitutes acceptance. If one provision is unenforceable, the remainder stays effective. Failure to enforce a provision is not a waiver. You may not assign this agreement without our consent; we may assign it in connection with a reorganization, financing, or sale.
